ChipFlow Ltd. (“ChipFlow”, “we”, “our”) respects your privacy and is committed to protecting it. This ChipFlow Privacy Policy (“Policy”) describes how we collect and use information that customers provide to us in connection with the creation or administration of ChipFlow accounts, which we refer to as “Account Information”, and it describes our practices for collecting, using, maintaining, protecting, and disclosing that information. (Unless they are otherwise defined here, capitalized terms are defined in the Customer Agreement.)

User Consent

Please read this policy carefully to understand our policies and practices regarding your Account Information and how we will treat it. If you do not agree with our policies and practices, your choice is not to use the ChipFlow Site (our “Website”) or Services. By accessing or using our Website or Services, you agree to this privacy policy. This policy may change from time to time (see Changes to Our Privacy Policy). Your continued use of this Website after we make changes is deemed to be acceptance of those changes, so please check the policy periodically for updates.

What is covered by this Privacy Policy

ChipFlow collects Account Information and Anonymous Data from you. 

Account Information” means information about you that you provide to us in connection with the creation or administration of your ChipFlow account. For example, Account Information includes names, usernames, phone numbers, email addresses, and billing information associated with your ChipFlow account.  Account information also includes personal information of your End Users.

Anonymous Data” means data that is not associated with or linked to your Account Information and which therefore does not identify you whether by itself or when combined with any other data held by us or other third parties as relevant, such as information about a user’s IT environment, the IP address of that computer or device, the webpages visited, what content you view, and how often you come to our Websites. Anonymous Data does not permit the identification of individual persons.

This ChipFlow Privacy Policy does not apply to the Content that customers store on our system.  “Content” means software (including machine images), data, text, audio, video, or images. ChipFlow will not disclose, move, access, or use customer Content except as provided in the ChipFlow Customer Agreement. Refer to the ChipFlow Customer Agreement and Service Terms for more information about how we handle Content you store on our systems.

Transfer of Personal Data to Other Countries

Your Account Information may be processed in the country in which it was collected and in other countries, including the United States, where laws regarding processing of personal data may be less stringent than the laws in your country. Personal data collected within the European Economic Area (the “EEA”) may be transferred to countries outside the EEA; however, we will take steps to ensure that your personal information will be afforded the level of protection required of us under applicable data protection legislation and this policy.

Account Information You Provide to Us

We may collect Account Information from you, such as your first name, last name, email address, mailing address, phone number, professional title and company name, when you complete a registration form or other marketing form on our Websites. If you provide us feedback or contact us via e-mail (e.g., in response to an employment opportunity posted on our website), we will collect your name and e-mail address, as well as any other content included in the e-mail, in order to send you a reply, and any information that you submit to us, such as a resume. For any Websites requiring an account, we will collect user names and passwords. When you participate in one of our surveys, we may collect additional profile information such as your name, location, your company and details regarding your use or opinions of our Services. We may also collect personal data from you via our Services, or at other points in our Websites. Personal data collected online may be supplemented with information you provide to ChipFlow through other ChipFlow Services, as well as other sources such as trade shows or seminars.

Personal Data and Anonymous Data Collected via Cookies and other Technology

Our servers (which may be hosted by a third party service provider) collect Account Information from you, and Anonymous Data from your computer or device, including browser type, Internet Protocol (IP) address (a number that is automatically assigned to your computer when you use the Internet, which may vary from session to session), domain name, or a date/time stamp for your visit. We may also use third party tracking services via the use of Cookies, such as Google Analytics and Eloqua, to track and analyze such anonymous information from users of our websites and Services, and such third parties may use Cookies to help track user behavior. “Cookies” are small text files that a website sends to your computer’s hard drive or flash drive while you are viewing a web site. We also use Cookies and navigational data like Uniform Resource Locators (URL) to gather information regarding the date and time of your visit and the solutions and information for which you searched and which you viewed. Like most Internet services, we automatically gather this data and store it in log files each time you visit our website or access your account on our network. We may use both session Cookies (which expire once you close your web browser) and persistent Cookies (which stay on your computer until you delete them) to provide you with a more personal and interactive experience on our website. If you do not wish to receive Cookies, or want to be notified of when they are placed, your browser may permit you to do so. In many browsers, you can change the browser settings to warn you before accepting cookies or to block cookies. If you choose to disable or block Cookies, you may not be able to use certain website features or functions, or the websites may not operate in an optimal mode. Your use of the website indicates and constitutes your acceptance of the cookies referenced in this policy. 

Use of Your Data

In general, the Account Information you submit to us is used either to respond to requests that you make, or to aid us in serving you better. ChipFlow uses your Account Information and Anonymous Data in the following ways:

  • to carry out our obligations arising from any contracts between you and us and to provide you with the information and services that you request from us;

  • to provide you with information about other services we offer that are similar to those that you have already purchased or enquired about;

  • to identify you as a user in our system;

  • to provide improved administration of our Websites and Services;

  • to improve the quality of experience;

  • to determine your location;

  • to send you administrative e-mail notifications, such as security or support and maintenance advisories;

  • to respond to your inquiries related to employment opportunities or other requests;

  • to make telephone calls to you, from time to time, to solicit your feedback or respond to requests made by you for services; and

  • to send newsletters, surveys, offers, and other promotional materials related to our websites and services and for other marketing purposes of ChipFlow.

We may create Anonymous Data records from Account Information by excluding information (such as your name) that make the data personally identifiable to you. We use this data to analyze request and usage patterns so that we may enhance the content of our Websites and improve site navigation. ChipFlow reserves the right to use and disclose Anonymous Data to our trusted third party companies for those purposes.

If you provide feedback on any of our Websites or Services to us, we may use your feedback for any purpose, provided we will not associate that feedback with your Personal Data. ChipFlow will collect any information contained in such communication and will treat the Account Information in such communication in accordance with this Privacy Policy.

Disclosure of Your Personal Data

We may share some of your Account Information with our parent company, or any subsidiaries, joint ventures, or other companies under common control with us (collectively, “Affiliates”), now or in the future, to facilitate the provision of our Services to you, in which case we will require our Affiliates to honor this Privacy Policy. If another company acquires all or substantially all of ChipFlow’s equity or our assets, including by way of merger or bankruptcy proceedings, that company will possess the Account Information collected by it and us and will assume the rights and obligations regarding your Account Information as described in this Privacy Policy.

Regardless of any choices you make regarding your Account Information, ChipFlow may disclose your personal data if it believes in good faith that such disclosure is necessary to (a) comply with applicable law; or (b) protect or defend the rights or property of ChipFlow or its users.

Links to Third Party Websites

Our provision of a link to any other website or location or of embedded media from third party sites such as YouTube is for your convenience and does not signify our endorsement of that website or location or its contents. When you click on such a link, you will leave our site and go to another site. During this process, another entity may collect data from you, including through the use of Cookies. We have no control over and cannot be responsible for these outside websites or their content. Please be aware that the terms of this Privacy Policy do not apply to these outside websites or content, or to any collection of data after you click on links to such outside websites.

Disclosure to Third Party Service Providers

Except as otherwise stated in this policy, we do not generally sell, trade, share, or rent Account Information to other entities. However, we may share your Account Information with third party service providers to provide you with any services that we offer you through our Websites, to conduct quality assurance testing, to facilitate creation of accounts, to provide technical support, to process employment applications, or to provide other services to you. These third party service providers are required not to use your Account Information other than to provide the services requested by ChipFlow. You expressly consent to the sharing of your Account Information with our contractors and other service providers for the sole purpose of providing services to you. ChipFlow does not disclose your Account Information to third parties for the third parties' direct marketing purposes, unless you first affirmatively agree to such disclosure.

Notice to California Residents - Your California Privacy Rights (As Provided by California Civil Code section 1798.83).

California Civil Code Section § 1798.83 permits users of our Websites that are California residents to request certain information regarding our disclosure of personal information to third parties for their direct marketing purposes. To make such a request, please follow the contact details set out below.

Your Choices Regarding Your Personal Data

We offer you choices regarding the collection, use, and sharing of your Account Information. We will periodically send you free newsletters and e-mails that directly promote the use of our site or the purchase of our Services and may contain advertisements for third party companies. When you receive newsletters or promotional communications from us, you may indicate a preference to stop receiving further communications from us and you will have the opportunity to “opt-out” by following the unsubscribe instructions provided in the e-mail you receive or by contacting us directly (please see contact information below). Should you decide to opt-out of receiving future mailings, we may share your e-mail address with third parties to ensure that you do not receive further communications from third parties. Despite your indicated e-mail preferences, we may send you notices of any updates to our Policies, including this one.

Changes to Personal Data

You may change any of your Account Information in your account by contacting us directly (please see contact information below). You may request deletion of your Account Information by us, but please note that we may be required (by law or otherwise) to keep this information and not delete it (or to keep this information for a certain time, in which case we will comply with your deletion request only after we have fulfilled such requirements) or we may instead choose to suppress your Account Information rather than delete it in order to can retain enough information to ensure that your preferences are respected in future. When we delete any information, it will be deleted from the active database, but may remain in our archives.

Security of Your Personal Data

ChipFlow is committed to protecting the security of your Account Information. We use a variety of industry-standard security technologies and procedures to help protect your Account Information from unauthorized access, use, or disclosure. Despite these measures, you should know that ChipFlow cannot fully eliminate security risks associated with personal data, and mistakes may happen.

Enforcement

If you believe that ChipFlow has not adhered to this Privacy Policy, please contact us.  We will do our best to address your concerns. If you feel that your complaint has been addressed incompletely, we invite you to let us know for further investigation.

Changes to This Privacy Policy

This Privacy Policy is subject to occasional revision, and if we make any substantial changes in the way we use your Account Information, we will notify you by sending you an e-mail to the last e-mail address you provided to us or by prominently posting notice of the changes on our website. Any material changes to this Privacy and Cookies Policy will be effective upon the earlier of 30 calendar days following our dispatch of an e-mail notice to you or 30 calendar days following our posting of notice of the changes on our site. These changes will be effective immediately for new users of our Websites or Services. Please note that at all times you are responsible for updating your Account Information to provide us with your most current e-mail address. In the event that the last e-mail address that you have provided us is not valid, or for any reason is not capable of delivering to you the notice described above, our dispatch of the e-mail containing such notice will nonetheless constitute effective notice of the changes described in the notice. In any event, changes to this Privacy Policy may affect our use of Account Information that you provided us prior to our notification to you of the changes. If you do not wish to permit changes in our use of your Account Information, you must notify us prior to the effective date of the changes that you wish to deactivate your account with us. Continued use of our Websites or Services, following notice of such changes shall indicate your acknowledgement of the changes and agreement to be bound by the terms and conditions of the changes.
